This document constitutes the official proposal (public offer) of S.R.L. STIALIT GE to conclude a distance sales agreement for goods under the conditions set out below. The offer is addressed to an unlimited number of natural and legal persons. By placing an order on the Colorista.md website, You confirm that You have read the terms of this offer, fully understand them, and accept them without reservation. The agreement is concluded in accordance with the Civil Code of the Republic of Moldova (Codul civil al RM, Law no. 1107/2002), Law no. 284/2004 on electronic commerce (Legea nr. 284/2004 privind comerțul electronic), and Law no. 105/2003 on consumer protection (Legea nr. 105/2003 privind protecția consumatorilor).

1. Terms and Definitions

The following terms apply in this offer:

Seller - S.R.L. STIALIT GE (STIALIT GE LLC), IDNO 1013600015368, owner of the Colorista.md website, selling Goods by distance means.
Buyer - a natural or legal person who has placed an Order on the Site and accepted the terms of this Offer.
Goods - materials for construction and finishing, tools, consumables, and related products presented in the Site catalogue.
Order - a request placed by the Buyer to purchase one or more Goods from the Site catalogue.
Site - the Seller's internet resource located at Colorista.md, including all of its pages and services.
Offer - this document, containing the Seller's proposal to conclude a sales agreement under the stated terms.
Acceptance - the full and unconditional acceptance by the Buyer of the terms of the Offer by placing an Order.

2. General Provisions

2.1. The Seller under this agreement is:

2.2. This document constitutes a public offer in accordance with the provisions of the Civil Code of the Republic of Moldova. The placement of Goods in the Site catalogue is regarded as the Seller's proposal to conclude a sales agreement.

2.3. Acceptance of the Offer is deemed to occur upon the Buyer placing an Order on the Site. From the moment of acceptance, the agreement is considered concluded under the terms of this Offer, without the need to sign a document on paper.

2.4. The Seller is entitled to amend the terms of the Offer. Amendments take effect from the moment they are published on the Site. The version of the Offer in force at the time the Order is placed applies to the relationship between the Parties.

3. Subject of the Agreement

3.1. The Seller undertakes to transfer to the ownership of the Buyer the Goods selected by the Buyer on the Site, and the Buyer undertakes to accept the Goods and pay for them under the terms of this Offer.

3.2. The name, quantity, price, and characteristics of the Goods are determined by the Buyer when placing the Order and are stated in the Order confirmation.

3.3. Images of Goods on the Site are for information purposes. Minor differences in appearance, shade, or packaging of the actual Goods compared with the image do not constitute a defect.

4. Placing an Order and the Moment of Conclusion of the Agreement

4.1. The Buyer places the Order independently on the Site or through the Seller's manager by telephone.

4.2. When placing the Order, the Buyer provides accurate data required for processing and delivery: name, contact telephone, delivery address, and, for legal persons, registration details.

4.3. After the Order is placed, the Seller sends the Buyer an Order confirmation. The agreement is considered concluded from the moment the Buyer receives this confirmation.

4.4. If the requested Goods are out of stock, the Seller notifies the Buyer and offers to replace the Goods, postpone the delivery date, or cancel the Order with a refund of the amount paid.

5. Price of Goods and Payment Procedure

5.1. Prices of Goods are stated on the Site in Moldovan lei (MDL) and include VAT (TVA), unless otherwise indicated.

5.2. The Order price is fixed at the moment of its confirmation and may not be changed unilaterally after the agreement is concluded.

5.3. The following payment methods are available to the Buyer:

Cash on receipt (to the courier or in the showroom).
Bank card (Visa/Mastercard) on receipt, via terminal.
Bank transfer for legal persons: after the Order is confirmed, an invoice (cont de plată) is sent by email and paid through any bank or by transfer from the company account. The set of documents is provided together with the Order. Release or delivery takes place after full payment.

6. Delivery and Transfer of Goods

6.1. Delivery is carried out within the municipality of Chișinău and throughout the Republic of Moldova.

6.2. Delivery within Chișinău is free for Orders of 2000 lei and above, subject to weight and dimension limits. For Orders below this amount, as well as for certain categories of Goods (cement, sand, masonry blocks, plasterboard, insulation materials, OSB, etc.), tariffs apply according to the delivery conditions. The cost of delivery outside Chișinău is calculated at a per-kilometre rate and agreed with the manager.

6.3. The Seller's transport delivers the Goods to a location where a safe stop is possible. Unloading and bringing the Goods into the premises are the responsibility of the Buyer.

6.4. On receipt, the Buyer is entitled to check the integrity and completeness of the Goods.

6.5. Ownership and the risk of accidental loss of the Goods pass to the Buyer from the moment the Goods are handed over.

7. Right of Return and Withdrawal from the Agreement

7.1. The Buyer who is a natural person is entitled to withdraw from a distance agreement within 14 calendar days of receiving the Goods, without giving reasons, in accordance with the provisions of the Civil Code of the Republic of Moldova (art. 1013-1065).

7.2. In the event of withdrawal from the agreement, the Seller refunds the amount paid within 14 days of receiving the withdrawal notice.

7.3. The right of withdrawal does not apply to Goods made to individual order, in particular paint tinted or mixed to the Buyer's order. For sealed Goods unsealed after delivery, the possibility of return is considered taking into account their condition and the requirements of the law.

8. Rights and Obligations of the Parties

8.1. The Seller undertakes:

to transfer to the Buyer Goods that correspond to the Order, of proper quality, and within the agreed timeframe;
to provide accurate information about the Goods, their price, and the purchase conditions;
to process the Buyer's personal data in accordance with the legislation of the Republic of Moldova.

8.2. The Seller is entitled:

to cancel the Order if the Goods are unavailable or if the Buyer has provided inaccurate data, having notified the Buyer;
to engage third parties to perform delivery obligations.

8.3. The Buyer undertakes:

to provide accurate data when placing the Order;
to accept and pay for the Goods under the terms of this Offer;
to ensure conditions for accepting the Goods at the agreed address.

8.4. The Buyer is entitled:

to receive information about the Goods and the status of the Order;
to exercise the right of withdrawal from the agreement under section 7.

9. Liability of the Parties and Force Majeure

9.1. The Parties are liable for non-performance or improper performance of obligations in accordance with the legislation of the Republic of Moldova.

9.2. The Seller is not liable for damage arising from the improper use of the Goods by the Buyer, or from the provision by the Buyer of inaccurate data.

9.3. If delivery fails through the fault of the Buyer (incorrect address or telephone, the Buyer being unavailable), repeat delivery is paid for separately.

9.4. The Parties are released from liability for non-performance of obligations if it was caused by force majeure circumstances: natural disasters, adverse weather conditions, actions of authorities, and other events beyond the reasonable control of the Parties. In such a case, the deadline for performing the obligations is postponed by agreement of the Parties.

10. Personal Data

10.1. By placing the Order, the Buyer consents to the processing of personal data to the extent necessary for the performance of the agreement.

10.2. Personal data is processed in accordance with the legislation of the Republic of Moldova. The processing conditions are set out in the Privacy Policy document.

11. Applicable Law and Dispute Resolution

11.1. The legislation of the Republic of Moldova applies to this agreement and to the relationship between the Parties.

11.2. Disputes are resolved through negotiation. If no agreement is reached, the dispute is referred to the competent court of the Republic of Moldova in accordance with the legislation in force.

11.3. The Buyer who is a natural person retains the rights granted by consumer protection legislation.
